Platform Agreement (Service Providers)

1. Parties

The Service Provider acts as an independent contractor and is not an employee, agent, partner or representative of the Platform.

2. Scope of the Platform

• The Platform operates as an online marketplace and intermediary.
• The Platform does not provide the services listed by Service Providers.
• All services are delivered solely by the Service Provider.
• The Platform facilitates payments, bookings and communication tools only.

3. Commission and Payments

• The Platform charges a commission of X% per completed transaction.
• Payments are collected securely via the Platform’s payment service providers.
• After deducting the applicable commission, the remaining balance is credited to the Service Provider.
• Payouts are processed weekly or monthly, as specified in the Platform dashboard.
• The Platform reserves the right to update commission rates and payout terms with prior notice via email or dashboard announcement.

4. Service Provider Obligations

The Service Provider agrees to:

• Provide accurate, lawful and professional services
• Hold all required qualifications, licences or certifications where applicable
• Avoid misleading, illegal or infringing content
• Accept all payments exclusively through the Platform
• Not bypass the Platform by directing users to off-platform payments
• Comply with all Platform policies, including refund and cancellation rules

5. Suspension and Termination

• The Service Provider may terminate this Agreement at any time by ceasing Platform use.
• The Platform may suspend or terminate accounts for policy violations, legal risks or user complaints.
• Upon termination, pending balances are processed in accordance with refund, chargeback and commission policies.

6. Liability and Disclaimer

• The Platform is not responsible for the quality, legality or outcome of services provided.
• All liability arising from service delivery rests solely with the Service Provider.
• The Platform shall not be liable for indirect, incidental or consequential damages arising from the use of the Platform.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
